1. Purpose of the Subscription

These terms define the conditions under which Canopée Studio SRL (“Canopée”) provides its creative services within its monthly subscription plans.

Subscriptions allow each client to access continuous and unlimited creative support, including graphic design, visual communication, web design (for websites managed by Canopée), and strategic guidance, depending on the selected plan.

The subscription is billed monthly, renews automatically, and operates according to the specific rules of each plan (Unlimited Light or Unlimited Studio+). Delivery times, service types, and operating procedures are defined below.

2. Subscription Plans

A. Unlimited Light – €790 excl. VAT / month

General Terms

  • No long-term commitment, but subject to a mandatory three (3) full-month notice period, calculated from the first day of the month following the termination request.
Example: termination notice sent on November 20 → December, January, and February remain payable, whether or not the client uses the service during that period. Services remain available throughout the notice period.

Workflow and Pace

  • One active project at a time, others are queued. Only one project is in production at once (e.g., flyer, banner, post series, product visual, etc.). Once a project is approved, the next one starts.

Delivery Time

  • Average first delivery: 72 to 96 working hours after receiving the full brief.
  • This first delivery is an initial version (version 1) and may not be the final deliverable for larger projects (e.g., a 40-page brochure).
  • Unlimited revisions are included, processed within the same average timeframe (72–96 h).

Deliverables and Formats

  • Final deliverables: HD print-ready PDF, optimized JPG/PNG for web, or other standard formats as needed.
  • Source files (AI, PSD, Figma, INDD, etc.) are not included; they may be purchased upon request at a custom rate depending on the project and rights involved.

About source files: these are editable working documents (e.g., Adobe Illustrator/Photoshop) allowing modification or reuse of design elements. They are not included in the Light plan.

Web

Website updates are included only for websites created and hosted by Canopée Studio, limited to content or visual adjustments (custom development excluded).

7-Day Free Trial

The Unlimited Light plan includes a 7-day free trial offering a micro-deliverable, such as:

  • a simple social media visual,
  • a flyer or poster,
  • a logo or branding concept exploration,
  • a short layout (2–5 pages), etc.

Trial deliverables are watermarked and grant no usage rights unless the paid subscription is confirmed. If the client does not proceed, no payment is due, but no files or rights are provided. Upon conversion, final files are delivered and rights transferred.

Unlimited Revisions

All requests include unlimited revisions, processed within the same average timeframe (72–96 h). As long as the request concerns the same project, iterations are unrestricted.


B. Unlimited Studio+ – €1,400 excl. VAT / month

General Terms

  • No long-term commitment, with a three-month notice period identical to the Light plan (effective from the first day of the month following notification).

Workflow and Pace

  • Up to two active projects simultaneously, with additional requests queued. Allows parallel work (e.g., flyer + social media campaign) for a smoother and faster workflow.

Delivery Time

  • Average first delivery: 48 to 72 working hours after the complete brief.
  • The first draft may be final (for simple projects) or partial (for larger ones).
  • Unlimited revisions, processed within 24–72 hours depending on complexity.

Files and Rights

  • Source files included (AI, PSD, Figma, INDD, etc.) upon request, at no extra cost, provided the client’s account is in good standing.
  • Files are shared via a secure link. The client must have their own software licenses (Adobe, Figma, etc.) to open source files.
  • Standard exports provided: PDF, JPG, PNG, MP4, etc.

Web

Website updates included for websites designed and managed by Canopée Studio, excluding complex development (e-commerce, custom code, API).

Communication & Priority Access

  • Direct WhatsApp access for questions or urgent matters, Monday to Friday, 9 a.m.–6 p.m. (CET). Messages sent outside working hours may be answered the next business day.
  • Video calls via a personal booking link (for briefs, reviews, or creative sessions), subject to availability.

Unlimited Revisions

Unlimited revisions with no scope restriction, processed within 24–72 hours depending on complexity.

3. How Unlimited Subscriptions Work

Both Unlimited Light and Studio+ plans grant clients the right to submit an unlimited number of design requests, with a limited number of active projects (1 or 2 at a time). Requests are queued and processed in order of submission. Clients can track progress and prioritize requests in their dedicated Notion workspace. The services covered are those listed in the offer.

4. Deadlines, Scope, and Included/Excluded Services

Deadlines

The 48–96 hour timeframe applies to the first version of a deliverable and varies depending on the type and complexity of the project (e.g., brochure, full branding, website).

  • Logo design and research (multiple proposals, unlimited revisions)
  • Brand guidelines: colors, typography, icon style, textures
  • Variations: favicon, icons, sub-brands, alternates
  • Brand guidelines document (simplified PDF; full brandbook available on request)
  • Reusable templates (Canva, InDesign, Figma depending on project)

Print Materials

  • Flyers, posters, brochures, leaflets, catalogs, sales brochures
  • Business cards, loyalty cards, invitations, menus, stickers, labels
  • Roll-ups, kakemonos, event posters
  • Signs, POS, display, packaging
  • Press kits, institutional brochures, PDF presentations
  • Envelope, folder, and sleeve designs

Deliverables provided as HD print-ready PDF + compressed web version.

Digital Materials

  • Social media visuals (posts, stories, banners, reel covers, carousels, etc.)
  • Mini digital campaigns (e.g., 5 coherent visuals)
  • Static web banners (light GIF, JPG, PNG)
  • Slides and pitch decks (PowerPoint, Google Slides, Keynote)
  • Infographics and educational visuals
  • Email signatures, newsletter templates (HTML or image)
  • E-book covers, PDFs, digital magazines
  • Video overlays (thumbnails, lower-thirds, static backgrounds)

Illustration & Retouching

  • Simple illustrations (flat, icons, diagrams, infographics)
  • Photo retouching (exposure, cropping, minor corrections, cutouts)
  • Graphic composition (images, typography, textures)
  • Color grading / harmonization across series

Web Design & Updates (Canopée sites only)

Visual & Content Maintenance

  • Updating text, images, blocks (WordPress / Webflow / Squarespace, if created by Canopée)
  • Portfolio or blog/news updates
  • Image optimization
  • Link and CTA updates
  • Minor visual/UX corrections

Partial Creation or Redesign

  • Landing pages (1–3 sections per request)
  • Adding simple pages
  • Pop-ups, forms, banners
  • Web design (Figma mockups or CMS editor)
  • Integration of visuals created within the subscription

SEO & Optimization (Canopée sites)

  • Metadata (titles, descriptions, alt tags)
  • H1–H6 structure
  • Image compression
  • Internal link verification
  • Content SEO recommendations

Communication & Visual Marketing

Social Media Content

  • Reusable templates (Canva, Figma, PSD) (included only in Studio+)
  • Cross-platform adaptations (Instagram, LinkedIn, Facebook, TikTok, Pinterest, YouTube, etc.)
  • Posting calendars (if content is provided)
  • Visual optimization of the grid/feed
  • Banners, headers, thumbnails

Marketing Campaigns

  • Visuals for email campaigns (banners, headers, CTAs)
  • Ads for Google Ads, Meta Ads, LinkedIn Ads (multiple formats)
  • Product launch materials (visuals, mini-brochures, PDFs)

External Resources & Licenses

Canopée Studio works with royalty-free or properly licensed resources (notably via Envato Elements). The end-use rights to these elements (icons, photos, videos, fonts) are transferred to the client for use in the created deliverables, but the underlying licenses remain the property of Canopée Studio.

Exclusions

  • Printing, photography, video shooting
  • Hosting, maintenance of external servers
  • Advanced motion design, 3D animation
  • Complex web development (e-commerce, APIs, custom code)
  • On-site travel
  • Paid software or font licenses
  • Any service not listed as included

These services can be quoted separately.

5. Process & Revisions

Requests are made exclusively via Notion. Each request is processed in order of receipt, with notifications at each update. Revisions are unlimited as long as they concern the same project. Each new request starts after the previous one is approved or closed (depending on the plan).

Deliverables in standard formats: JPG, PNG, PDF, MP4, WEBP, or another format agreed upon during the briefing.

6. Intellectual Property and Usage Rights

  • Source files provided only to Studio+ clients (free, on request) and to Light clients (separate purchase, per-project pricing).
  • Full usage rights are transferred after full payment.
  • Free use by the client, without paid resale or redistribution of the creations or source files.
  • Third-party elements (Envato Elements, etc.) used under their licenses: end-use right transferred; underlying license held by Canopée.
  • Fonts, images, and licensed elements: use limited to the final deliverables.
  • Unless objected to in writing in advance at hello@canopee.studio, Canopée may show excerpts in its portfolio and communications.

7. Confidentiality

Confidentiality Commitment

Canopée guarantees the confidentiality of the information, documents, data, and access provided. Information is used solely to execute projects and manage the business relationship.

Use of Data

  • Execution and follow-up (emails, video calls, phone calls, file exchanges)
  • Billing and administrative follow-up
  • Client references (unless there is a prior written objection)
  • Information related to services

Data is never resold. Sharing is limited to necessary third parties (hosting, payments, collaboration tools) that are GDPR-compliant.

References and Communication

Unless objected to in writing before work begins, Canopée may mention the client’s name/logo and show non-sensitive excerpts in its portfolio and professional materials.

Technical Access and Responsibilities

  • The client provides the necessary information and access, guarantees their accuracy, and may revoke them at the end of the collaboration.

Retention and Deletion

Data retained for up to 3 years after the end of the relationship (excluding legal obligations). Early deletion can be requested by email.

8. Term, Renewal, and Termination

Term and Renewal

Monthly subscriptions renewed automatically. Any month started is due. The subscription remains active until a valid written termination is received.

Termination Process

By email only to hello@canopee.studio (not via WhatsApp/Notion/phone). The message must specify the company, the plan, an explicit request, and the desired effective date. Canopée confirms receipt and the applicable date.

Three (3)-Month Notice

Mandatory notice of three full months, calculated from the first day of the month following receipt of the request.

Example: termination received on 20 November → ends on 28 February. December, January, and February remain due. Access is maintained during the notice period.

Billing During the Notice Period

Billing at the usual rate; no discount or refund for partial use.

9. Temporary Suspension (“pause”)

Right to Suspend

  • One pause per calendar year, up to 30 consecutive days, requested by email 7 days before the desired start.

During the pause, production is suspended. Automatic reactivation afterward.

Conditions

  • Pause cannot be split.
  • Timelines resume upon reactivation, with no retroactive effect.
  • Ongoing requests are returned to the queue.

Impact on Notice Period

The pause does not interrupt or extend the notice period. If termination is requested after a pause, the three-month notice still applies.

10. Payment, Invoicing, and Late Payment

Payment Terms

  • Monthly invoicing in advance, in EUR, payable within 7 days.
  • Payment by bank transfer, card, or another accepted secure method.
  • Prices exclude VAT; Belgian VAT at 21% if applicable.
  • Invoice deemed accepted without reservation if not disputed within 5 business days.

Invoicing and Renewal

  • Automatic renewal unless terminated (see section 8).
  • Invoicing on the first day of each monthly period.
  • Payment is required to start or continue services.

Late or Non-Payment

  1. Immediate suspension: services and access to deliverables are stopped, with no refund.
  2. Loss of usage rights: the client may not use or reproduce creations from the unpaid month until the invoice is settled.
  3. Legal penalties: late-payment interest at the legal rate (as set by the Belgian Ministry of Finance, variable), a minimum fixed indemnity of €40, and reimbursement of recovery costs incurred.
  4. Termination: in case of prolonged or repeated non-payment, the subscription may be terminated, without prejudice to the amounts due.

Legal notice: penalties and indemnities are due from the day after the due date, without prior formal notice (commercial transactions). For consumers, the provisions of the Belgian Code of Economic Law apply.

12. Free Trial: Unlimited Light & Studio+

Seven-day free trial, without commitment, to try Unlimited Light or Studio+.

General Terms

  • Reserved for new businesses (one time only, non-renewable).
  • Signup via form, confirmation by email.
  • No payment required at signup.

At the end of the trial, the client may confirm the subscription (monthly billing) or choose not to proceed, with no fees.

Trial Content

  • One simple creative request from among: social visual, logo or branding exploration, short layout (1-2 pages), simple illustration, web visual, short mockup, or equivalent.

Services not included: web development, maintenance, animation or video, multi-deliverable projects, full branding, long-form productions.

Timelines and Deliverables

  • First draft within 72-96 working hours after a complete brief.
  • Minor adjustments possible during the trial.
  • Trial deliverables are watermarked, preview formats only (JPEG or PNG or low-resolution PDF). No source files during the trial.

If the client subscribes, final files are delivered and rights are transferred. Otherwise, no payment is due and no usage rights are granted for the trial creations.

13. Warranties and Liability

Obligation of Means

Canopée performs its services with care and professionalism. Obligation of means, not of result: no guarantee of marketing performance, sales, or visibility.

Third-Party Services and Dependencies

  • No liability for failures related to external providers (hosting, CMS, stock libraries, software, APIs, email services, collaboration tools).
  • No guarantee of full compatibility with all environments or software versions.

Client Responsibility

  • Validation of deliverables before publication.
  • Provision of required access and information.
  • Intellectual property of materials provided by the client.

14. Force Majeure

Any event beyond reasonable control that prevents performance constitutes force majeure (for example serious illness, accident, fire, breakdown, strike, network outage, war, disaster, government decision, epidemic or pandemic, prolonged supplier failure).

During force majeure, obligations are suspended without compensation and deadlines are extended. After 60 days, termination may be requested in writing without penalty, subject to payment for services already performed.

15. Changes to the Terms and Conditions

Canopée may amend these terms. Material changes are published on the website and or notified by email at least 15 days before they take effect, and apply to the next billing period. Continued use constitutes acceptance. In case of refusal, the client may terminate under Section 8.

16. Governing Law and Jurisdiction

Governing law: Belgian law.

Jurisdiction: French-speaking courts of Brussels.

Reference language: in the event of any discrepancy between versions, the French version prevails.
